Trivian Capital Management Pty Ltd ("Trivian Capital", "we", "us" or "our") is a Corporate Authorised Representative of Pursuit Capital Pty Ltd and operates under their Australian Financial Services Licence. Financial Services We Are Authorised to Provide
Under the authority granted by Pursuit Capital Pty Ltd (AFSL 339211), we are authorised to provide the following financial services to wholesale clients only:
1. Financial Product Advice
We may provide general and personal financial product advice in relation to:
Deposit and Payment Products (basic deposit products and deposit products other than basic deposit products)
Interests in Managed Investment Schemes (excluding investor directed portfolio services)
Securities
2. Dealing in Financial Products
We may deal in financial products by applying for, acquiring, varying or disposing of financial products on behalf of clients in respect of:
· Deposit and Payment Products (basic deposit products and deposit products other than basic deposit products)
· Interests in Managed Investment Schemes (excluding investor directed portfolio services)
· Securities

Client Eligibility
Important: We are only authorised to provide financial services to wholesale clients as defined in section 761G of the Corporations Act 2001. We cannot provide financial services to retail clients.
A wholesale client includes:
Individuals with net assets of at least $2.5 million or gross income of at least $250,000 per year for the last two financial years
Companies or trusts with net assets of at least $10 million
Individuals investing at least $500,000 in a financial product
Professional investors such as AFS licensees, registered schemes, banks, insurance companies

Kevin O'Hara is the Managing Director of Trivian Capital, bringing with him almost two decades of global experience in entrepreneurship, family office, venture capital and private equity. Kevin serves as Managing Director of Sentor Investments, Venture Partner and Member of the Investment Committee at Primal Capital, Venture Partner at SDGx Ventures in Singapore, and Investment Committee member at Newzone Ventures in Portugal.
Kevin has personally founded, scaled and exited 3 companies and brings a unique approach to investing in and working with portfolio companies. Kevin has an MBA majoring in Digital Transformation, has completed post graduate executive education at both INSEAD and Harvard Business School, and is a passionate volunteer and member of the NSW Steering Committee at Mirabel Foundation.

How We Are Remunerated
Our Fees
Our remuneration structure is designed to align our interests with those of our clients. We may be remunerated through:
1. Advisory Fees
Fixed fees for specific advisory services
Hourly rates for consultation services
Project-based fees for corporate advisory work
2. Success Fees
Performance-based fees linked to successful transaction completion
Percentage of funds raised or transaction value
3. Co-investment Returns
Returns from our principal investment alongside clients
Carried interest from investment performance
Fee Disclosure
All fees and charges will be clearly disclosed to you before we provide any financial service. Where we provide you with personal advice, details of our remuneration will be included in your Statement of Advice.
Third Party Payments
We do not accept commissions from third parties in relation to financial products we recommend. We may receive referral fees for introducing clients to other service providers, and these will be disclosed to you when relevant.

We are not independent, impartial or unbiased in relation to the provision of our financial services because:

We may receive benefits from successful transaction completion
We invest our own capital alongside clients, creating shared interests

Professional Indemnity Insurance
Trivian Capital Management Pty Ltd is covered under the professional indemnity insurance policy maintained by Pursuit Capital Pty Ltd. This insurance:
Covers claims arising from the conduct of current and former authorised representatives
Satisfies the requirements of section 912B of the Corporations Act 2001
Covers potential liability for a period of seven years after we cease to provide financial services
Provides compensation to clients who suffer loss due to breaches of our obligations
The insurance arrangement provides adequate cover for the financial services business conducted under the authority of Pursuit Capital Pty Ltd.
What Documents Will You Receive?
Statement of Advice (SoA)
When we provide you with personal financial product advice, we will provide you with a Statement of Advice before or at the time we provide the advice. The SoA will contain:
Your relevant personal circumstances
Our advice and recommendations
Basis for our advice
Information about fees and potential conflicts of interest
Warnings about risks and other relevant matters
Record of Advice (RoA)
For ongoing advice relationships, we may prepare a Record of Advice instead of a full SoA where:
You have previously received an SoA from us
Your personal circumstances have not significantly changed
The further advice relates to the previous advice
You can request a copy of any RoA within seven years of the advice being provided.
Product Disclosure Statement (PDS)
Before recommending that you acquire a particular financial product, we will provide you with the relevant Product Disclosure Statement. The PDS contains important information about the financial product including features, benefits, risks, conditions and fees.
